1. Acceptance of These Terms
These Terms of Service ("Terms") are a binding agreement between you and Holengen, LLC ("Holengen," "we," "us," or "our") and govern your access to and use of Reedflow, including our website, local-first desktop application for Mac, optional Reedflow Cloud hosted features, and related account, billing, and support services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not access or use the Services.
2. Eligibility and Accounts
You may use the Services only if you are legally capable of entering into a binding contract with us and your use of the Services is not prohibited under applicable law.
Some parts of the Services may require you to create an account. You agree to provide accurate information, keep your account information current, and maintain the confidentiality of your login credentials. You are responsible for activity that occurs under your account to the extent permitted by applicable law.
3. Reedflow Services
Reedflow is a local-first transcription product for Mac that may include desktop software, website features, optional Reedflow Cloud hosted processing, and other account-linked functionality. Depending on the feature set and plan, Reedflow may be used for file transcription, push-to-talk dictation, AI cleanup, summaries, translation, and related audio or text workflows. Features may change over time, and some features may be offered as alpha, beta, preview, trial, or otherwise limited releases.
We may add, modify, suspend, or discontinue any part of the Services at any time.
4. Desktop, Web, and Hosted Features
Some Reedflow features may run locally on your device or through providers you configure, while other features may depend on web-based accounts, Reedflow Cloud hosted processing, payments, support systems, or other cloud-based components.
When you use local desktop functionality or provider configurations you manage yourself, some content may remain on your device and may not be transmitted to Holengen. When you choose Reedflow Cloud or other hosted or account-linked functionality, Holengen and its service providers may process the information required to provide, maintain, secure, and improve those features.
5. Acceptable Use
You may not, and may not permit others to:
- use the Services in violation of applicable law or regulation;
- infringe, misappropriate, or otherwise violate the rights of any person or entity;
- upload, submit, or transmit malicious code, malware, spyware, or other harmful material;
- interfere with or disrupt the integrity, security, or performance of the Services;
- attempt to gain unauthorized access to the Services, accounts, systems, or networks;
- use the Services to abuse capacity, probe vulnerabilities, or circumvent rate limits, access controls, or security measures;
- reverse engineer, decompile, or attempt to derive source code or underlying components of the Services except to the extent such restriction is prohibited by applicable law; or
- use information obtained through the Services to exploit, harm, or unlawfully profile other users.
6. User Content and Service Permissions
You may provide or submit content through the Services, including audio, transcript text, prompts, support materials, and related data ("User Content").
As between you and Holengen, you retain ownership of your User Content. You grant Holengen a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use User Content as reasonably necessary to provide, maintain, secure, and improve the Services, comply with law, and enforce these Terms.
You represent and warrant that you have all rights necessary to provide User Content to the Services and to grant the rights described in these Terms.
7. Intellectual Property
The Services, including the software, design, text, graphics, logos, trademarks, service marks, and other materials made available by Holengen, are owned by Holengen or its licensors and are protected by intellectual property and other applicable laws.
Except for the limited rights expressly granted in these Terms, Holengen reserves all rights, title, and interest in and to the Services.
8. Subscriptions, Fees, and Billing
Some Services may require payment, a paid subscription, usage-based purchases, or a separate purchase. If you purchase a paid Service, you agree to pay the applicable fees, taxes, and other charges described at the time of purchase.
Billing and payment processing may be handled by third-party payment processors. Your purchase may be subject to additional terms presented at checkout or by the applicable payment processor.
Unless we expressly state otherwise, fees are non-refundable, and pricing or availability may change from time to time.
9. Suspension, Termination, and Service Changes
We may suspend or terminate your access to all or part of the Services if we believe:
- you have violated these Terms;
- your use of the Services creates legal, security, or operational risk;
- suspension is needed to protect the Services, our users, or third parties; or
- we are changing or discontinuing the applicable feature or offering.
You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute venue.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Holengen disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or available at any particular time or location, or that any content or output will be accurate, complete, or fit for your intended use.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Holengen and its officers, directors, employees, affiliates, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or relating to the Services or these Terms, even if advised of the possibility of those damages.
To the maximum extent permitted by applicable law, the total liability of Holengen for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to Holengen for the Services giving rise to the claim during the 12 months before the event giving rise to the claim; or (b) fifty U.S. dollars (US$50).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
12. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Holengen and its officers, directors, employees, affiliates, licensors, service providers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of any law or the rights of any third party.
13. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
You and Holengen agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by updating the "Last updated" date above, posting the revised Terms through the Services, or using another appropriate communication method. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.
